These terms and conditions of use (the "Terms of Use") apply to the Nitrous Keys web site (the “Site”) located at https://www.nitrouskeys.com. The Site is the property of Nitrous Keys.

All users (“User”) of the Site agree that access to and use of the Site are subject to the following terms and conditions and other applicable law. By using the Site, you agree to the Terms of Use. If you do not agree to the Terms of Use, please do not use the Site.

Limitation of Liability

Nitrous Keys shall not be liable for any special or consequential damages that result from the use of, or the inability to use, the materials on the Site or the performance of the products, even if Nitrous Keys has been advised of the possibility of such damages. Applicable law may not allow the limitation of exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to certain Users.

Indemnification

User agrees to indemnify, defend, and hold harmless Nitrous Keys, its officers, directors, employees, agents, licensors, and suppliers (collectively the "Service Providers") from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these terms and conditions or any activity related to User’s account (including negligent or wrongful conduct) by User or any other person accessing the Site using User’s Internet account.

Notice

Nitrous Keys may deliver notice to User by means of e-mail, a general notice on the Site, or by other reliable methods to the address User has provided to Nitrous Keys.

Content

Nitrous Keys does its best to make sure the information viewed on the Site is accurate. Nitrous Keys will not be held responsible, however, for technical inaccuracies or typographical errors. Nitrous Keys shall not be held liable for damage or loss as a result of improper programming procedures by the User with products purchased from the Site.

Nitrous Keys accepts no responsibility for the content, or other problems that may occur from the use of the programming procedures done on products from the Site.

Any product names, logos, brands, or other trademarks or images featured or referred to within the Nitrous Keys postings are the property of their respective trademark holders. These trademarks are not affiliated with Nitrous Keys, or our products. The respective trademark holders do not sponsor or endorse Nitrous Keys or any of our online products.

Typographical Errors

In the event that a Nitrous Keys product is mistakenly listed at an incorrect price, Nitrous Keys reserves the right to refuse or cancel any orders placed for product listed at the incorrect price.

Nitrous Keys reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and User’s credit card charged. If User’s credit card has already been charged for the purchase and User’s order is canceled, Nitrous Keys shall issue a credit to User’s credit card account in the amount of the incorrect price.

Third-Party Links

In an attempt to provide increased value to our visitors, Nitrous Keys may link to sites operated by third parties. However, even if the third party is affiliated with Nitrous Keys, Nitrous Keys has no control over these linked sites, all of which have separate terms and conditions, privacy policy and data collection practices, independent of Nitrous Keys.

These linked sites are only for User’s convenience and therefore User accesses them at own risk. Nonetheless, Nitrous Keys seeks to protect the integrity of its web site and the links placed upon it and therefore requests any feedback on not only for its site, but for sites it links to as well (including if a specific link does not work).

Warranty Disclaimer

The Site and the materials and products on the Site are provided "as is" and without warranties of any kind, whether express or implied. To the fullest extent permissible pursuant to applicable law, Nitrous Keys disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement.

Nitrous Keys does not represent or warrant that the functions contained in the Site will be uninterrupted or error-free, that the defects will be corrected, or that the Site or the server that makes the Site available are free of viruses or other harmful components.

Nitrous Keys does not make any warranties or representations regarding the use of the materials in the Site in terms of their correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise. Some states do not permit limitations or exclusions on warranties, so the above limitations may not apply to you.

Chargeback / Dispute

If you need to make a return for refund or exchange, please review the Return Policy. By making a purchase on the Site, User agrees to not do a chargeback or dispute without contacting Nitrous Keys first.

Recurring Payments and Cancellations

User’s payment to Nitrous Keys for the Paid Membership will automatically renew at the end of the applicable membership period, unless User cancels the Paid Membership before the end of the then-current membership period. The cancellation will take effect the day after the last day of the current membership period, and User will be downgraded to the Free Service. Nitrous Keys does not provide refunds or credits for any partial membership periods.

Nitrous Keys may change the price for the Paid Membership, including recurring fees, at any time and will communicate any price changes to User in advance and, if applicable, how to accept those changes. Price changes will take effect at the start of the next subscription period following the date of the price change. Subject to applicable law, User accepts the new price by continuing to use the Site after the price change takes effect. If User does not agree with a price change, User does not have the right to reject the change by cancellation of the Paid Membership prior to the price change going into effect.

Miscellaneous

User’s use of the Site shall be governed in all respects by the laws of the state of Nevada, U.S.A., without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods.

User agrees that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to the Site (including but not limited to the purchase of Nitrous Keys products) shall be in the state or federal courts located in Clark County, Nevada.

Any cause of action or claim User may have with respect to the Site (including but not limited to the purchase of Nitrous Keys products) must be commenced within one (1) year after the claim or cause of action arises.

Nitrous Keys’ failure to insist upon or enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these Terms of Use.

Nitrous Keys may assign its rights and duties under this Agreement to any party at any time without notice to User.

Termination

These terms and conditions are applicable to User upon User’s accessing the Site and/or completing the registration or shopping process. These terms and conditions, or any part of them, may be terminated by Nitrous Keys without notice at any time, for any reason. The provisions relating to Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.
